These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Infinitiminds Technologies Private Limited (operating as HillTeck, "we", "us", or "our"). By accessing or using our website at hillteck.com, our Shopify application, or any of our related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, installing our Shopify app, or otherwise using our Services, you confirm that:
- You are at least 18 years of age
- You have the legal authority to enter into this agreement on behalf of yourself or your business
- You agree to comply with these Terms and all applicable laws and regulations
- If using on behalf of a business, you represent that the business authorizes you to accept these Terms
2. Description of Services
HillTeck provides an AI-powered eCommerce communication automation platform that includes:
- COD Order Verification: Automated IVR and WhatsApp calls to verify cash-on-delivery orders
- RTO Reduction: Proactive communication workflows to reduce return-to-origin rates
- WhatsApp Business API: Bulk messaging, broadcasts, and automated workflows via Meta's official API
- Abandoned Cart Recovery: Automated WhatsApp reminders to recover lost sales
- COD to Prepaid Conversion: Incentive-based messaging to convert COD orders to prepaid
- Order Notifications & Tracking: Automated shipping and delivery updates via WhatsApp
We reserve the right to modify, update, suspend, or discontinue any part of our Services at any time with reasonable notice.
3. Account Registration
To access our Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Keep your account credentials confidential and not share them with third parties
- Promptly update your account information if it changes
- Notify us immediately at [email protected] if you suspect unauthorized access to your account
- Accept full responsibility for all activities conducted under your account
We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.
4. Acceptable Use Policy
You agree to use our Services only for lawful purposes. You must NOT use our platform to:
- Send spam, unsolicited messages, or messages to customers who have not consented
- Violate Meta's WhatsApp Business Policy or Shopify's Partner Program Agreement
- Transmit illegal, harmful, defamatory, obscene, or fraudulent content
- Harass, threaten, or impersonate any person or entity
- Distribute malware, viruses, or any other malicious code
- Attempt to reverse engineer, decompile, or extract source code from our platform
- Resell, sublicense, or commercially exploit our Services without written permission
- Circumvent or attempt to bypass our security measures or access controls
Violation of this policy may result in immediate suspension or termination of your account.
5. WhatsApp Messaging Policy
Our platform operates through Meta's official WhatsApp Business API. By using our messaging features, you agree to:
- Only send messages to customers who have provided explicit consent to receive WhatsApp communications from your business
- Comply with Meta's WhatsApp Business Policy and Messaging Guidelines at all times
- Not use our platform for sending promotional messages outside of approved WhatsApp template categories
- Ensure all message templates are approved by Meta before use
- Respect customer opt-out requests immediately and maintain an up-to-date opt-out list
- Not send messages that violate applicable laws, including anti-spam regulations
Important:
Violations of WhatsApp's policies may result in your WhatsApp Business Account being restricted or banned by Meta. HillTeck is not liable for any such actions taken by Meta due to your misuse of the messaging services.
6. Payments & Subscriptions
HillTeck operates on a subscription-based model. By subscribing to our paid plans:
- You authorize us to charge your payment method on the agreed billing cycle (monthly or annually)
- Subscription fees are charged in advance at the beginning of each billing period
- All prices are listed in Indian Rupees (INR) unless otherwise specified
- You are responsible for all taxes applicable to your subscription (GST, VAT, etc.)
- Failure to pay may result in temporary suspension of your account
- We reserve the right to change subscription pricing with 30 days' advance notice
7. Refund Policy
Our refund policy is as follows:
- Monthly Subscriptions: No refunds are provided for monthly subscription fees once charged. You may cancel at any time to prevent future charges.
- Annual Subscriptions: If you cancel within 7 days of your annual renewal date and have not used the service in that period, you may be eligible for a pro-rated refund. Contact [email protected] to request a review.
- Shopify App: Refunds for Shopify app charges are subject to Shopify's billing policies.
- Service Outages: Service credits (not cash refunds) may be issued for extended platform downtime exceeding 24 consecutive hours.
8. Intellectual Property
All intellectual property rights in our platform, including software, designs, logos, content, and documentation, are owned by or licensed to Infinitiminds Technologies Private Limited.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Services solely for your business purposes as permitted by these Terms. You may not:
- Copy, modify, or create derivative works of our platform or its content
- Use our brand name, logo, or trademarks without prior written consent
- Remove or obscure any proprietary notices from our platform
You retain ownership of your store data, customer data, and content you upload to our platform. By using our Services, you grant us a limited license to process and use your data solely to provide the Services.
9. Data & Privacy
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points:
- We process personal data in accordance with applicable data protection laws (GDPR, CCPA, India DPDP Act)
- Customer data accessed through Shopify is used solely to provide our Services
- We do not sell your data to third parties
- You are responsible for obtaining valid consent from your customers before sending them communications through our platform
10. Disclaimers & Warranties
Our Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Services will be uninterrupted, error-free, or secure
- Warranties regarding the accuracy or completeness of any content or information
- Results or outcomes from using our Services, including RTO reduction rates or revenue improvements
11. Limitation of Liability
To the maximum extent permitted by applicable law, Infinitiminds Technologies Private Limited shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damages resulting from unauthorized access to your account
- Actions taken by Meta/WhatsApp or Shopify relating to your account or messaging
Our total liability to you for any claims under these Terms shall not exceed the amount you paid us in the three (3) months preceding the event giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless HillTeck, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of our Services
- Your violation of these Terms or any applicable law
- Your infringement of any third-party rights, including intellectual property or privacy rights
- Any content or communications you send through our platform
13. Termination
By You: You may terminate your account at any time by cancelling your subscription through our platform or by contacting our support team. Upon cancellation, you retain access until the end of your current billing period.
By Us: We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or our Acceptable Use Policy
- Your account is used for fraudulent or illegal activities
- We are required to do so by law or regulatory authority
- You fail to pay subscription fees after a reasonable grace period
Upon termination, your right to use the Services ceases immediately. We will retain your data for up to 90 days before permanent deletion, during which you may request an export.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be:
- First attempted to be resolved through good-faith negotiation between the parties
- If unresolved within 30 days, submitted to binding arbitration under the Arbitration and Conciliation Act, 1996
- Arbitration shall be conducted in Bengaluru, Karnataka, India
- The language of arbitration shall be English
You agree to submit to the exclusive jurisdiction of the courts in Bengaluru, Karnataka for any matters not subject to arbitration.
15. Changes to Terms
We reserve the right to modify these Terms at any time. When we make significant changes, we will:
- Update the "Last Updated" date at the top of this page
- Post a prominent notice on our website
- Notify registered users via email (for material changes)
Your continued use of our Services after the effective date of the revised Terms constitutes your acceptance. If you do not agree with the revised Terms, you should discontinue use and cancel your account.
